Brand agreement

Last updated 24 September 2026. This agreement sits alongside the Terms of service and applies to you as a Brand hiring creators on Yap Factory. Creators agree to the matching Creator agreement.

1. Offers and deals

You invite creators from your campaign’s shortlist with a fixed offer: price, usage rights, deadlines and extras, written down before anyone accepts.
A deal is formed when a creator accepts the offer as written. The accepted offer is the contract and cannot change without a new version both of you accept.
Accepting does not charge you. You then choose to start the deal, and only then is your card charged.

2. Fees and VAT

You pay the creator’s price plus a service fee of 7.99% of that price, charged when you start a deal. There is no subscription, joining fee or charge for inviting creators.
If you are based in the UK, VAT at 20% is added to the service fee. VAT is never added to the creator’s price.
Prices shown before you have a shortlist are estimates. The offer you send is exact.

3. How the money is held and released

When you start a deal, the payment is held by Yap Factory until you approve the work. The creator films knowing the money is secured.
When you approve the draft, the creator’s fee is released to them in full.
If you do not respond within 72 hours of a draft arriving, it is approved automatically and the creator is paid.
If a draft never arrives, the deal is marked stalled after its due date and cancelled 5 days later, and you are refunded in full, automatically.

4. Reviewing drafts

Each campaign names one approver. Only the approver reviews drafts and sends revision notes.
You review a watermarked preview. The clean file unlocks when you approve it.
3 revision rounds are included. Each round is one consolidated note, and a round can be anything from a small tweak to a full re-record. The creator returns the revised draft within 3 business days.
Each round after the included ones is paid at the creator’s own extra-revision rate, fixed on the offer, and charged before the round starts.

5. Cancelling

Before you deliver app access, you can cancel a started deal for a full refund.
If you cancel after sending the creator app access, the creator receives a kill fee of 50% of the creation fee from the held money, and the rest is refunded to you.
If you cancel after a draft is submitted, the creator is paid for that draft (the draft payment on the offer), and the rest is refunded to you.

6. Usage rights

You may use the approved video exactly as licensed on the accepted offer, for the channels and term it states, until its end date. Posting on your own channels is always included. Running the video as a paid ad is limited to the ad term on the offer (for example 3 months, 6 months, 12 months or forever), priced by each creator. Any paid-ad use after the end date must stop unless you agree a new licence with the creator. Creators keep copyright; no other rights are granted.

You will keep deals, contact and payment with creators you meet here on Yap Factory for 24 months after you first connect (Terms 6b). You won’t share or ask for emails, phone numbers or handles, or pay a creator outside the platform. If you do, you agree to pay $10,000 (£8,000 if billed in pounds) in liquidated damages per creator, to the extent permitted by law, and your account may be suspended or closed.
You will give the creator the app access and information the offer describes, on time.
You are responsible for your own ads and claims, and for complying with advertising rules (the ASA/CAP Code in the UK, the FTC in the US) when you run creator videos.

8. Disputes

Either side may open a dispute once a draft is submitted. A person at Yap Factory reads both sides against the accepted offer and the delivery evidence and decides within 5 business days. The held money stays put until then. Our decision on the release of held money is final within the service; it does not affect your statutory rights.

9. Ending this agreement

Close your account any time from Settings. Deals already started complete first. We may suspend accounts for breach of this agreement with notice and a reason. Questions: support@yapfactory.com.
